<p>With PPC advertising, and so many lead generation companies bidding for the words, there is no way to cash flow in that way.</p>
<p>You do not use YP online, and neither do I. <p>The timing right now in April of 2012 is very good for raising money in this way: with interest rates at an all time artificial low, many conventional investors are looking at non-conventional alternatives in order to create a return.  Since these wealthy individuals and companies often live off that investment income return, there is a huge incentive for them to examine new alternatives.</p>
<p>Internet start-ups  require less capital than was required in the prior-to-Internet  past in order to execute such a fundraising effort: with electronic commerce, social networks, and opt-in email marketing, there are many new and inexpensive ways to approach investors legally and ethically under <a href="http://www.sec.gov/answers/regd.htm">Regulation D</a>: Rule 506 is the rule best suited for venture capital offerings in my opinion: (<em>IE: the little guys should stick with the mainstream investments: <a title="Prudent man rule" href="http://en.wikipedia.org/wiki/Prudent_man_rule">prudent man rule</a>)</em></p>
<blockquote><p><a href="http://www.sec.gov/answers/regd.htm">Regulation D</a> is considered a “safe harbor” for the private offering exemption of <a href="http://www.sec.gov/cgi-bin/goodbye.cgi?www.law.uc.edu/CCL/33Act/sec4.html" target="_top">Section 4(2) of the Securities Act</a>. Companies using the Rule 506 exemption can raise an unlimited amount of money. A company can be assured it is within the Section 4(2) exemption by satisfying the following standards:</p>
<ul>
<li>The company cannot use general solicitation or advertising to market the securities;</li>
<li>The company may sell its securities to an unlimited number of “<a href="http://www.sec.gov/answers/accred.htm">accredited investors</a>” and up to 35 other purchases. Unlike Rule 505, all non-accredited investors, either alone or with a purchaser representative, must be sophisticated—that is, they must have sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment;</li>
<li>Companies must decide what information to give to accredited investors, so long as it does not violate the anti-fraud prohibitions of the federal securities laws. But companies must give non-accredited investors disclosure documents that are generally the same as those used in registered offerings. If a company provides information to accredited investors, it must make this information available to non-accredited investors as well;</li>
<li>The company must be available to answer questions by prospective purchasers;</li>
<li>Financial statement requirements are the same as for <a href="http://www.sec.gov/answers/rule505.htm">Rule 505</a>; and</li>
<li>Purchasers receive <a href="http://www.sec.gov/answers/restric.htm">“restricted” securities</a>, meaning that the securities cannot be sold for at least a year without registering them.</li>
</ul>
<p>While companies using the Rule 506 exemption do not have to register their securities and usually do not have to file reports with the SEC, they must file what is known as a “<a href="http://www.sec.gov/about/forms/formd.pdf">Form D</a>” after they first sell their securities. Form D is a brief notice that includes the names and addresses of the company’s owners and stock promoters, but contains little other information about the company.</p>
<p>In February 2008, the SEC adopted amendments to Form D, requiring that electronic filing of Form D be phased in during the period September 15, 2008 to March 16, 2009. Although as amended, the electronic Form D requires much of the same information as the paper Form D, the amended Form D requires disclosure of the date of first sale in the offering. Previously, the closing date of an offering was used as the first date of sale. <p>Rule 506 of Regulation D is widely used by venture capitalists and entrepreneurs in the early stages of forming a company: before the company has 10 stockholders (referred to as “the coffee table rule) no forms must be filed to begin such a start up business (sometimes referred to as the organizational period)</p>
<p>An entrepreneur can create a document (you can download all the current documents for filling a Reg. D in any state in template format and fill in the blanks for a small fee at ppmfast.com and a number of other for-profit websites); and simply use that document to begin raising money in several ways:</p>
<ul>
<li>“FFR”  Money – family friends and relatives my be interested in helping you get started in the earliest stages before you are far enough along to raise money elsewhere</li>
<li>Industry-related – many businesses will be good customers, and/or good suppliers when they are funded: other businesses who will benefit in this way may be willing to invest, or offer contingent commitments for trade credit and other considerations based on the success of the offering; these commitments enhance the start-up ability to raise serious investment capital by leveraging the potential returns.</li>
<li>Government incentives – especially in a recession, there are many local, state, and federal programs designed to create jobs and/or attract investment to any area: these include the SBA, BDCs, SBCs.  These are good sources of early stage capital, and incentives that reduce labor, rent, and tax costs for an early stage business that can create jobs and tax base.  Again, such arrangements, even as contingent commitments, can greatly enhance potential profits and make an early stage investment in a private offering more attractive.</li>
<li>Private investors: “Angles” – wealthy individuals often invest in this type of offering with a criteria that the upside is so large when a private company goes public, so that they can afford to be wrong nine times out of ten and still see a huge return from the one that hits – the key here is to be able to invest early, and to be able to afford to diversify risk (invest in at least ten of them)</li>
<li>Professional venture capitalists – I do not recommend that you pursue investment from professionals in this industry unless and until  you have exhausted the other alternatives: you can find many of these sources in <a title="The Corporate Finance Sourcebook 2011" href="http://www.amazon.com/The-Corporate-Finance-Sourcebook-2011/dp/0872170047http://">The Corporate Finance Sourcebook 2011</a></li>
</ul>
<p>What has changed with the advent of the Internet since when I was involved heavily in doing this for many clients in the 1980s:  is that this type of offering is much less less expensive, sometimes not even requiring any printing or stamps (which were an expensive part of this then).  With email and social networks to use, the entrepreneurs’ investment may literally be only his time and minor organizational costs – the early stage money can even be raised prior to incorporation under an “agreement to incorporate” made from the PPM templates.  It is truly a “brave new world” for entrepreneurs, and their backers.  These changes have spurred so much activity, that some have even proposed more regulation to restrict past abusers from using this type of offering: see:</p>

This is not ideal; the client is not optimizing anything, no key words, putting posts in too many categories so everything is the same, making many mistakes that will undermine effectiveness and stickiness, a good example of what not to do: we fixed it up as much as we could in the time allotted.  This is exactly why some people do not get results: It is a shame because there is a lot of good content.</p>

<li>Can they find your phone number without clicking, even without ever going to the website?</li>
<li>Did you take the time to properly optimize?</li>
<li>Is the information useful and easy to navigate enough for them to want to bookmark, subscribe, come back, look around????</li>
<li>Do you really think that the page will rank in search and that Google will not know that it is worthless and nobody sticks around?</li>
<li>Does it really matter, if nobody can find it in the first place?!</li>

<p>As the use of Java, Ajax and other open-source browser-powered and third-party applications and social networks like Facebook, Google+ and Linkedin.com has increased, so have the old proprietary content managements systems that were used to develop these advanced functions on the server side declined, and the use of enterprise-level WordPress has increased. This is because of the fact that, on the cloud, things move very quickly, and they must be inexpensive and universally compatible. Being dependent on an outdated skill set and a proprietary content management system like Cold Fusion, or Microsoft ASP, is expensive, less flexible, and much more expensive; therefore there  has been a corresponding decline in the percentages as web servers, except for sites that need the highest possible security, and even that can be achieved with open-source Drupal (which is hotter than a firecracker right now with top developers in high demand at $150/hour).</p>
<p>Now that some group and networking functions can be supplied by an integration with Facebook, Google+, and Linkedin, as well as other third party reservation systems, MLS stream providers, etc..the marketing arm of putting the content out there can be done least expensively and most effectively with WordPress, with the more secure functions existing elsewhere: we even use the integrated Facebook group as a source of content to feed WordPress, and our efforts posting relevant data about the community on a well-connected and fully integrated <a title="Boerne Community News Blog" href="Boerne.uplog.org">Boerne.uplog.org</a>, and <a title="Hill Country Social Network" href="HillCountnry.uplog.org">HillCountnry.uplog.org</a> to feed traffic to the site, and create rankings, can also be used for content for the<a title="Hill Country Social Network" href="https://www.facebook.com/groups/HillCountryNetwork/"> Facebook group at https://www.facebook.com/groups/HillCountryNetwork/</a>.</p>

<h4>The City Of Palm Springs Is Taking Off!</h4>
<p>We are moving forward with revitalization plans for downtown and the area in general is seeing a huge uptick in business in general.  Both the Uptown Design District and the Downtown Area are alive experiencing growth, increased sales and plans for a whole new Downtown experience under way.</p>
<h4>Be a part of a building demolition!</h4>
<p>Back in November, the citizens of Palm Springs passed the Measure J sales tax (with no net increase in sales taxes) to finance infrastructure work throughout the city for the next 25 years and to also finance the tear-down of Desert Fashion Plaza with a later redevelopment of that entire section of downtown.</p>
<h4>It all kicks off January 26th!</h4>
<p>Demo of the former BofA building will begin with a public ceremony on January 26th at the site. Stay tuned for details or call us at 760-322-7822 for information. The city is moving along very fast with plans for the sale of financing bonds with that will complete in April. At that time, the city will take deed to the public properties, streets, and the parking garage.</p>
<p>The former bank lot will soon be a public plaza right away as a signal to the beginning of this very exciting project. And immediate steps  increasing public parking to help all businesses in the area.  By mid-2013, the entire old mall will be gone and the new neighborhood will begin to rise out of the rubble.</p>
<p>Look for courtyards of shops, a new movie complex, restaurants and public areas.  Features of this pedestrian friendly area will include outdoor areas with shade structures and natural convection cooling for year round comfort.</p>
<h4>In other news</h4>
<p>The <strong>Coachella Valley Association</strong> reported increases in hotel bookings for events this year (at 137,000 room nights already) and they are talking to Westjet, Alaska Airlines and Virgin Air on promoting the valley as a tourist and sporting destination.  Look for special fares from all over Canada and the US.</p>
<p>The Coachella Valley is the #1 Golf destination in North America! What? Yes, we are tops when it comes to golf and a look outside at the weather, a balmy 75 degrees, will tell you why our 125 golf courses do so well.  Check out the video below.</p>
<h4>The city is working on several fronts to capitalize on the many things happening now:</h4>

<li>The needs of downtown and uptown merchants in working with the city will provide for the success of business and comfort of tourists. The Merchants Association and the city work very closely to this end with a common goal of giving business the tools to grow and visitors a fun and rewarding experience.</li>
<li>Promoting business and tourist access as we move into a new era with the Downtown redevelopment projects. Their lists include everything from new  newspaper racks to new bike racks, additional crosswalks, lighting, billboard advertising, and radio ads and around the area.</li>
<li>The plan is to promote the entire Downtown and Uptown area at a time when we have the attention of so many around the country and the world with the work happening to revitalize Palm Canyon and Indian Canyon Drive from end to end. The demo of BofA will be the catalyst to set that in motion.</li>
</ul>

<p>Foreign exchange, or currency exchange, is a strange and somewhat confusing place at first where nothing physical is traded. Where the market is run electronically, within a series of banks, and trading is conducted 24 hours a day from Sunday afternoon to Friday afternoon. Forex is the world’s largest market dwarfing all markets combined many times over. The latest figures show $3.8 trillion with more being traded every day. That&#8217;s growth at a rapid pace!</p>
<p>Until the 1990’s Forex was only traded by multi-millionaires and banks. With the advances in technology and the internet, now anyone with a few hundred dollars can get in on the action.</p>
<p>&nbsp;</p>
<h2>How simple is the basic premise?</h2>
<p>Price either goes up or down. It doesn’t rest or move sideways often. All you have to do is guess right. Here’s how it works:</p>
<ul>
<li>You buy or sell one currency while simultaneously selling or buying the other currency in the pairing at the same time.</li>
<li>If the market price of the base currency moves in the direction you chose, you accumulate money until you close the position.</li>
<li>If the price of the base currency moves in the opposite direction you chose, you lose money until you close the position.</li>
<li>You Open in a buy or sell position. If you open a buy trade, you are expecting a rise in the exchange rate between two currencies. If the rate then goes up you make profit for every little bit it moves. You then close the trade and the profit is in your account. If you have made a bad decision and the rate goes down you will lose money for every little move it goes against you.</li>
<li>If you think the rate will go down you reverse all of that and open sell position trades.</li>
</ul>
<p>That’s it! Hopefully you are right 80% of the time and on the 20% of the time you are wrong your losses do not wipe out your earnings. Like most things, it is easier said than done. However knowledge can increase your chance of success in most things in life. In the next few lessons we will cover some of the tools and strategies found in the Dan Gaub Academy that will help increase your Forex knowledge.</p>

<p>When you go to the airport and trade your U.S. Dollars in for the Euro there is an exchange rate. When you come home again and trade in Euros for U.S. Dollars that rate has changed. The rate change was either in your favor for profit or against you for a loss. Forex works like this but is far more complex.</p>
<p>In Forex you buy one currency and simultaneously sell the other currency (or exchange one for the other). When you put your trade into play (often referred to as “put in a trade”, “make a trade” or “enter a trade”), you either gain profits or incur losses as exchange rates change. Sometimes the exchange rate goes in your favor for a while and then can turn and run against you and vice versa. The great thing about Forex it is that you can decide when you want to bank profits or cut your losses. You then look for the proper conditions and trade again. Here’s an illustration:</p>
<h2>Visualize this scene to illustrate how Forex works</h2>
<p>You and a friend are sitting on the sidewalk. You both have 100 dollars in 1 dollar bills in your pocket (that represents your live account in Forex). You say that you think more cars will pass you going left to right. Your friend says more cars will go from right to left. You both decide that every car that passes will cost a dollar. You shake hands and start (that represents entering into a trade). As cars pass by you get lucky, and the first 5 cars came from the left. Your friend hands you $1 as each car passes. Oops, 2 cars come from the right. Now you are only up $3. You sense there may be a line of cars coming from the right and you get worried. You say, “I’m done” and quit (close your trade) with a small profit.</p>
<p>On the other hand, if you were the one down $3 and you sensed more cars would come from the right, you could quit and cut your losses. You may also think that even though you may lose more money in the short term, you could stay in the game. Perhaps in a few minutes the cars will come from the left and you will get it all back and more! Of course there is no guarantee this will happen. But hey, you have been on this sidewalk before and have seen it all, so you will take the calculated risk (this represents Forex analysis and experience). You are the best Forex sidewalk trader alive!</p>
<p>An important point to remember, is that either you or your friend could have made money. In Forex, you can make money if the exchange rate rises (cars coming from the left), or if the exchange rate falls (cars coming from the right). Conversely, you can lose money if the opposite happens. It all depends on what position you take when you place the trade.</p>

<p>If an out of town visitor (we have many in Boerne with all the dude ranches and other tourist attractions) searches for &#8216; ASE auto repair Boerne&#8217;, or any other combination of the chosen key words, they find a post I did three days ago:</p>
<p>How much is that worth?  To the brand new Boerneautomotive.com, who hired a friend with zero SEO expertise to build their brand new website (LOL) it is worth the difference between negative cash flow and a profit!</p>
<p>At the risk of turning this into a rant: it would be really nice and intelligent for their wayward friend of a webmaster to call me back and or put the desired tags on-site so it would be their website that ranks instead of my blog post.</p>
<p>It would be even more intelligent to change their static website (<a title="SEO blogs  websites marketing" href="http://uplog.org/services"> they paid way more than we charge for)</a>   into a <a title="SEO blogs  websites marketing" href="http://uplog.org/services/">WordPress site with the power to create and maintain its own rankings because of the value of the content!</a></p>
<p>Sheesh! These guys are pretty good at fixing cars, they fixed mine: but they are incredibly stupid when it comes to their choices in webmasters, websites, and online marketing!</p>
<p>Trust me, there are many more examples like this in your city and state!  Consider being one of us, and/or at least let us help your business!</p>
